User & Purchase Agreement
This Agreement applies to anyone who places a bid or purchases products on liquidationflips.ca. You must accept it before bidding. Submitting a bid is an irrevocable offer to purchase the item you bid on, which we may accept or reject at our discretion, on the terms of the listing and this Agreement.
1. Placing a bid
- A bid is a binding, irrevocable offer to purchase the listed item (the "Listed Product") at your bid amount (the "Purchase Price"), plus applicable Canadian sales taxes (GST/HST, PST or QST).
- If you are the winning bidder, we will send a notification email confirming your winning bid.
- Bids cannot be retracted once placed.
2. Payment
- A temporary pre-authorization hold of up to CAD 100 may be placed when you register to verify your payment method. It is not a purchase charge and may remain visible until released by your financial institution.
- You agree to pay the full Purchase Price plus applicable taxes within 48 hours of the notification email, using an approved payment method shown on the Site.
- Payments are non-refundable except as expressly set out in this Agreement.
- If payment is not received in time, we may cancel the sale, suspend or restrict your account, and re-sell the item to another buyer. We may recover amounts lawfully owing and retain amounts already paid where permitted by law and this Agreement.
3. Availability
- If a paid item is not made available for pickup or shipment within fourteen (14) days of your payment, you may cancel that purchase by written notice.
- We will refund your payment for the unavailable item within five (5) business days of receiving your written notice to cancel.
4. Pickup & shipping
- Depending on the listing, items may be available for pickup at a warehouse (Brampton, ON or Dartmouth, NS) or for shipping. Availability of each option is shown on the listing.
- For pickup, you must schedule an appointment within 72 hours of receiving pickup instructions and collect within the stated window.
- If you fail to schedule or pick up on time, we may, at our discretion, (a) ship the item to you at your cost, or (b) charge a re-stocking / non-performance fee equal to the greater of $25 or 10% of the Purchase Price. Where a non-performance fee applies, we refund the Purchase Price less that fee and may re-sell the item.
- You are responsible for shipping charges and for providing an accurate delivery address.
5. Title & risk of loss
- Title and risk of loss pass to you when the item is handed to you or to the carrier at the warehouse (the "Point of Purchase"). Delivery is Ex Works – Point of Purchase (Incoterms 2020).
- We will load the item; you pay all freight charges. Once the item is picked up or shipped, it is your responsibility.
6. Estimated quantities
- Unit counts shown in a listing are estimates only; actual quantities may vary.
- You accept the risk of receiving more or fewer units than listed and waive any detailed-count claim, in exchange for the deeply discounted pricing.
7. Sold "as is" — no returns
All items are sold "AS IS" and "WITH ALL FAULTS", with no warranties or conditions of any kind, express or implied, including merchantability or fitness for a particular purpose. All sales are final and items may not be returned for refund or exchange. You are responsible for determining the quality and value of items, and we encourage you to inspect and test them at pickup.
8. Data & device sanitization
Some items — computers, phones, drives, cameras, gaming systems and other electronics — may have contained data. Before you resell, transfer, refurbish, recycle or dispose of any such item, you must:
- Securely erase all data so it cannot be recovered — using a multi-pass secure wipe or the manufacturer's approved reset-to-factory procedure, and physically destroying SIM cards where present.
- Remove any remaining labels, SKUs and personal information, and handle all data in compliance with applicable privacy laws.
9. Responsible disposal & compliance
- You will comply with all applicable federal, provincial and local laws — including electronic-waste (e-waste) regulations — when reselling or disposing of items.
10. Indemnification & liability
You agree to indemnify and hold Liquidation Flips harmless from any claims, damages, fines, costs and expenses arising from your resale, use, handling or disposal of items, or your breach of this Agreement.
To the fullest extent permitted by law, Liquidation Flips is not liable for any indirect, incidental, consequential, special or punitive damages. Our maximum liability is limited to the amounts you actually paid us in the three (3) months preceding the claim. You assume all risk of loss for shipped items.
11. Governing law & general
- This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein; disputes will be resolved before the courts of Ontario.
- Every auction has a soft close: a bid placed in the final 5 minutes extends the auction by 5 minutes, until no further bids are placed.
- We may sell the same type of inventory to other bidders and do not guarantee any minimum quantity or quality. If any provision is unenforceable, the remainder stays in effect.
By placing a bid, you confirm that you have read, understood and agree to this User & Purchase Agreement.
